FORMAT AND BID DEADLINE:
This is a sealed bid auction. To bid in this auction your written
offer must be received by 5:00 P.M. Eastern Daylight Savings Time,
Thursday, May 25, 2000. Your offer must be submitted in the form of a
fully completed and signed Purchase and Sale Agreement (Sales
Contract) as provided by RE/MAX Group Auctioneers in "Sealed Bid
Auction #0525200 Offer". The offer may be faxed or delivered to:

BID
CONSIDERATION, AWARD & NOTIFICATION: The winning bidder will
be notified by 5:00 P.M. Eastern Daylight Savings Time, Friday, May
26, 2000. Seller reserves the right in its sole and absolute
discretion to accept, reject, waive any technical or formal defect,
counteroffer or request a best and final offer on any bids received.
Any bid submitted after the deadline or contrary to these terms and
conditions may be rejected.

The initial 5%
wire transfer must be completed and the above escrow account credited
by 5:00 P.M. Eastern Daylight Savings Time, Tuesday, May 30. The
earnest money must be increased by an additional 10% via wire
transfer, which wire transfer shall be completed and credited to the
same RE/MAX escrow account above by 5:00 P.M. Eastern Daylight
Savings Time, Friday, June 2, 2000. Earnest money is non-refundable
unless Seller fails to convey good merchantable title to the property
as provided in the Sales Contract.
TERMS:
Bids must be in the form of all cash due to the Seller at closing.
There is a 10% buyer's premium in this offering. The Buyer's Premium
is added to the Bid Price to determine the Purchase Price submitted
on the Sales Contract.
FINANCING:
Financing is NOT a contingency of this sale. Therefore, it is
strongly recommended that all potential bidders make certain in
advance that they are able to obtain necessary financing to close the
transaction. If a Purchaser cannot obtain financing on the property
because he/she cannot fulfill terms or does not qualify, then the
Purchaser can either close for cash within the contractual period or
forfeit his/her total earnest money.
CLOSING DATE:
Closing is to occur on or before June 26, 2000.
TITLE:
Neither the Seller nor RE/MAX Group Auctioneers make any
representations or warranties, oral or written, expressed or implied,
regarding the condition of title to the property. Prospective bidders
are encouraged to engage legal counsel of their own choosing and
expense to examine the title and related matters. Title will be
conveyed to the Purchaser by general warranty deed, subject to all
encumbrances, easements, rights-of-ways, leases, possession, liens,
licenses, reservations, conditions and other matters of record or not
of record.
CLOSING COSTS:
Seller shall pay for deed preparation, documentary stamps and State
of Georgia Transfer Tax. Purchaser pays survey fees, if any, and all
other closing costs not required by law to be paid by Seller.
TAXES:
Prorated to the date of closing.
POSSESSION:
30 days from date of deed.
